1. Acceptance of Terms
By accessing or using services provided by Green Olive Systems LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
Green Olive Systems LLC provides software development, cloud solutions, and related technology services. The specific scope, deliverables, and terms for each engagement will be outlined in a separate agreement or statement of work.
3. User Accounts
If you create an account with us, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your login credentials secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Payment Terms
Payment terms will be specified in individual service agreements. Unless otherwise stated, payments are due within 30 days of invoice date. We reserve the right to suspend services for overdue accounts. All fees are non-refundable unless otherwise specified in writing.
5. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in custom work created for clients will be assigned to the client upon full payment. We retain ownership of any pre-existing materials, tools, frameworks, or general-purpose code used in providing services.
6. Acceptable Use
You agree not to use our services to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit harmful, offensive, or illegal content
- Attempt to gain unauthorized access to systems or data
- Interfere with or disrupt our services or infrastructure
- Engage in fraudulent or deceptive activities
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of business. This obligation survives termination of services.
8. Limitation of Liability
To the maximum extent permitted by law, Green Olive Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action. Our total liability shall not exceed the amounts paid by you for the services giving rise to the claim.
9. Disclaimer of Warranties
Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Termination
Either party may terminate services as outlined in the applicable service agreement. We reserve the right to suspend or terminate access to our services for violation of these terms. Upon termination, your right to use our services ceases immediately.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the appropriate courts within our jurisdiction.
12. Changes to Terms
We reserve the right to modify these terms at any time. We will provide notice of material changes by updating the "Last updated" date. Continued use of our services after changes constitutes acceptance of the modified terms.
